These terms govern your purchase and use of themes, plugins and related digital products from wpcodify.com (“wpCodify”, “we”, “us”). By placing an order, creating an account, or installing any of our products, you agree to these terms. If you do not agree, please do not purchase or use our products.
wpCodify is the developer brand for our WordPress plugins and developer tools. Our themes are also published under our parent brand ThemeOri, including on the Envato marketplace (ThemeForest). Purchases made on Envato are governed by Envato’s terms, licences and policies rather than these terms — see section 12.
1. Definitions
- Product — any theme, plugin, add-on, template or other digital item we sell.
- Licence — the right to use a Product, as described in section 3.
- Licence key — the unique key issued with your order, used to activate a Product on a website and to receive updates.
- Activation — registering one website domain against your licence key on our licence server.
- Site — a single WordPress installation on a single domain. Staging, development and local copies are treated separately in section 3.4.
- Support period — the window during which you are entitled to product support and updates, as described in section 5.
- Account — your customer account on wpcodify.com, where orders, downloads and licence keys are listed.
2. Eligibility and account
2.1 You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase.
2.2 You are responsible for the accuracy of the information you provide at checkout. Your licence keys, downloads and receipts are delivered to the email address on the order, so an incorrect address may delay delivery.
2.3 You are responsible for keeping your account credentials and licence keys confidential. Sharing a licence key publicly, or in a way that lets others activate it, is a breach of these terms (section 7).
3. Licence grant
Subject to payment in full and continued compliance with these terms, we grant you a non-exclusive, non-transferable, worldwide licence to install and use the Product as follows.
3.1 Licence tiers

The tier you purchased is shown on your order and enforced by your licence key. Activating more sites than your tier allows will be refused by the licence server; upgrade your licence or deactivate an existing site first.
3.2 What you may do
- Install the Product on the number of sites permitted by your tier.
- Use the Product on websites you build for clients, provided each client site is covered by an activation and the licence is delivered to the client or retained by you as the site operator.
- Modify the Product’s code for your own use on a licensed site.
- Use the Product commercially, including on sites that sell goods or services.
3.3 What you may not do
- Resell, sublicense, redistribute, or give away the Product or its source code as a standalone item, whether modified or not.
- Publish, share, or resell your licence key, or use a key you did not lawfully obtain.
- Distribute “nulled”, cracked, or licence-bypassed copies, or use such copies.
- Include the Product in a theme, plugin, template kit, bundle, membership, or marketplace listing that you sell or distribute.
- Remove or obscure copyright notices, licence headers, or author attribution in the source.
- Use the Product to build a product that competes directly with it.
3.4 Development, staging and local copies
You may run additional non-public copies of a licensed site — local development, staging and test environments — without consuming an extra activation, provided they are not publicly accessible as a live site. If a staging site is publicly accessible and serving real visitors, it counts as a Site.
3.5 Open-source components
Our WordPress themes and plugins are distributed under the GNU General Public License to the extent required for WordPress-derivative PHP code. Nothing in these terms is intended to restrict rights granted to you under the GPL for those components. Bundled assets that are not GPL-derivative — including images, illustrations, fonts, demo content and third-party libraries under their own licences — remain subject to their respective licences and are not covered by the GPL grant. Our licence keys, update service, support and documentation are separate commercial services and are governed by these terms.
3.6 Ownership
We retain all intellectual property rights in the Products. This is a licence, not a sale of the underlying software or its copyright.
4. Licence keys and activation
4.1 A licence key is issued when your order is completed and is available in your account dashboard under Downloads.
4.2 Activating a Product registers the site’s domain against your key on our licence server. We record the domain, activation date, and the last time the site checked in, so that we can enforce activation limits and provide support.
4.3 You may deactivate a site at any time to free up an activation — for example when moving a project to a new domain or handing a site to a client.
4.4 We may suspend or revoke a licence key that shows signs of abuse, including activation attempts far in excess of the purchased tier, sharing of keys, or repeated failed activation attempts from automated sources.
4.5 A Product will continue to function on an already-activated site if the licence expires or updates lapse, but automatic updates and support will stop. We do not remotely disable installed software for non-renewal.
5. Updates and support period
5.1 Unless the product page states otherwise, each purchase includes one year of updates and support from the date of purchase.
5.2 A Lifetime purchase means a one-time payment for a perpetual licence to use the version(s) you receive — it does not mean a lifetime of updates and support. After the included period ends, you keep and may continue using the Product indefinitely.
5.3 During the support period you receive new versions, bug fixes, security patches and compatibility updates as we release them, plus support as described in our Support Policies.
5.4 Where offered, you may renew updates and support after the period ends. Renewal pricing is shown at the time of renewal.
5.5 Security fixes may be made available to all customers at our discretion, including those outside their support period, where we judge the issue serious enough to warrant it.
6. Orders, pricing and payment
6.1 Prices are shown in the currency displayed at checkout and are subject to change. The price that applies is the one shown when you place your order.
6.2 Card and online payments on wpcodify.com are processed by Paddle.com Market Ltd, which acts as the merchant of record for those transactions. This means Paddle is the seller for the purposes of the payment: it collects the payment, handles applicable VAT and sales tax, issues the invoice, and appears on your card or bank statement as the charge descriptor. Paddle’s own terms of use and privacy notice apply to the payment itself, alongside these terms which govern your licence and use of the Product.
6.3 Where you pay by manual or bank transfer instead, wpCodify is the seller of record for that order and the order completes once we confirm receipt of payment.
6.4 If you don’t recognise a charge from Paddle on your statement, it relates to a purchase made here. Contact support@wpcodify.com with the date and amount and we’ll identify the order for you.
6.5 Taxes may be added at checkout based on your location and, where applicable, your business/VAT status.
6.6 Discount codes and promotional links are subject to their own conditions, including expiry dates and usage limits, and may be withdrawn at any time. Only one discount code may be applied per order unless we state otherwise.
6.7 Digital products are delivered immediately on payment. Your licence key and download are available in your account, and a copy is emailed to you.
7. Suspension and termination
7.1 We may suspend or terminate your licence, account or access to downloads and support if you materially breach these terms — including redistribution, licence-key sharing, use of nulled software, chargeback abuse, or abusive conduct toward our staff.
7.2 If a purchase is refunded or reversed by chargeback, the associated licence is revoked. You must stop using the Product and remove it from your sites.
7.3 Sections that by their nature should survive termination — ownership, disclaimers, limitation of liability, and governing law — continue to apply.
8. Third-party software and services
8.1 Our Products are built for WordPress and may rely on, integrate with, or bundle third-party plugins, libraries, page builders, APIs or demo assets. Those components are governed by their own licences and terms.
8.2 We are not responsible for the availability, behaviour or pricing of third-party services, or for changes they make that affect our Products. We will make reasonable efforts to maintain compatibility with widely used software during your support period.
8.3 Some Products include or require third-party items licensed to us for distribution within the Product only. Those items may not be extracted and used separately.
9. Warranties and disclaimers
9.1 We warrant that, at the time of purchase, the Product substantially performs as described on its product page and documentation.
9.2 Beyond that, the Products are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.3 We do not warrant that a Product will be uninterrupted or error-free, that all defects will be corrected, or that it will be compatible with every hosting environment, theme, plugin or configuration.
9.4 You are responsible for maintaining backups of your website before installing, updating or modifying any software.
9.5 Nothing in these terms excludes or limits any rights you have under consumer protection law in your country that cannot be excluded or limited.
10. Limitation of liability
10.1 To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business interruption, arising from your use of, or inability to use, a Product.
10.2 Our total aggregate liability arising out of or relating to a Product or these terms is limited to the amount you paid for that Product in the twelve months before the claim arose.
11. Indemnity
You agree to indemnify and hold us harmless from claims, damages and reasonable costs arising from your use of the Products in breach of these terms, or from content you publish on sites built with them.
12. Purchases made on Envato / ThemeForest
Items bought on ThemeForest under our ThemeOri brand are licensed by Envato, not by us. Envato’s regular and extended licences, refund rules and item support policy apply to those purchases. Support for Envato purchases is provided through the channels described in our Support Policies and is verified using your Envato purchase code.
13. Changes to these terms
We may update these terms as our products and legal obligations change. The “last updated” date at the top will change, and material changes will be announced on the site or by email. Continued use of the Products after a change means you accept the updated terms.
14. Governing law and disputes
These terms are governed by the laws of Bangladesh, without regard to conflict-of-law rules. Disputes will be subject to the exclusive jurisdiction of the courts of Bangladesh, except where mandatory consumer law in your country of residence gives you the right to bring proceedings locally.
